Abstract | On 1 July 1972, the Consolidated University of North Carolina was expanded to include 16 campuses, and its Board of Trustees was replaced by the Board of Governors. The Board of Governors, made up of 32 members elected by the North Carolina General Assembly, was given responsibility for "the general determination, control, supervision, management, and governance of all affairs of the constituent institutions." A preliminary Planning Committee met from January to June 1972 to establish the organization and functions of the Board prior to the Board's first official meeting on 7 July 1972. Records include minutes and meeting files of the Board of Governors, 1972-2021; minutes of its preliminary Planning Committee, January-June 1972; and files, including minutes, of its Committee on Personnel and Tenure, 1972-1998. For most of the period covered by these records, the Board had four standing committees: Committee on Budget and Finance; Committee on Educational Planning, Policies, and Programs; Committee on Personnel and Tenure; and Committee on University Governance. The Committee on Personnel and Tenure is the only standing committee whose minutes and meeting files are held by the University Archives. However, reports of the other standing committees are included in the minutes of the Board. |

The preliminary Planning Committee, made up of representatives of each of the constituent institutions, met from January to June 1972 to establish and coordinate the organization and functions of the Board prior to the Board's first official meeting on 7 July 1972. The Planning Committee was not related to the Board's standing Committee on Educational Planning, Policies and Programs. The minutes of the preliminary Planning Committee are included in the first volume of the minutes of the Board of Governors.
The Board of Governors has conducted much of its business through its standing committees. For most of the period covered by these records, the Board had four standing committees: Committee on Budget and Finance; Committee on Educational Planning, Policies, and Programs; Committee on Personnel and Tenure; and Committee on University Governance. Reports from all of the standing committees are included in the minutes of the Board of Governors; but the Committee on Personnel and Tenure is the only standing committee whose official minutes and meeting files are held by the University Archives.

This series is comprised of volumes containing the official minutes of the meetings of the Board of Governors. Minutes include, as appendices, many reports, recommendations, and other documents that the Board discussed or approved at its meetings. Among these are reports of the Board's standing and special committees.
Beginning in October 1994, separate minutes were kept for closed sessions of the Board of Governors meetings. Closed sessions were allowed for discussion of personnel matters, financial matters such as acquisition of real property, and the conferring of awards. A brief version of the closed session minutes was entered in the official Board minutes contained in this series. A fuller version was filed in the Meeting Files. See Series 2 for the Meeting Files.
Arrangement: Chronological by meeting date.
These files were created and maintained by the Secretary of the University and the Assistant Secretary of the University. They include documents related to arrangements for Board of Governors meetings and to matters discussed at the meetings. Included are correspondence; agendas and schedules of meetings; materials distributed to Board members prior to meetings, including copies of newspaper articles related to the university; and drafts of statements and reports to be presented to the Board. Files occasionally also include the minutes of ad hoc, special, or subcommittees of the Board of Governors. In many cases, the materials in these files duplicate or closely approximate items that are recorded in the minutes of the Board in Series 1. In some cases, however, these files include documents that are not recorded in the minutes of the Board, such as appendices that were too large to be bound with the minutes and appendices containing confidential information. In particular, documents related to the issuance of revenue bonds generally are not included in the minutes but are included in the Meeting Files.

For most of the period covered by these records, the Board of Governors had four standing committees: the Committee on Budget and Finance; the Committee on Educational Planning, Policies and Programs; the Committee on Personnel and Tenure; and the Committee on University Governance. Reports of all of the committees are included in the official minutes of the Board in Series 1 and often also in the Meeting Files in Series 2. Minutes and other records of the Committee on Personnel and Tenure are included in Series 3.1.

These files were created and maintained by the Vice President for Academic Affairs of the University of North Carolina System, whose office provided administrative support to the Committee on Personnel and Tenure. Records include agendas and minutes of committee meetings and materials related to matters discussed at the meetings.
The Committee on Personnel and Tenure considered the recommendations of the campuses of the University of North Carolina System regarding faculty appointments, promotions conferring tenure, and salary increases above a set percentage. It also considered recommendations regarding appointments to senior administrative positions at the individual campuses and at General Administration. The committee then recommended to the full Board of Governors whether to approve the recommendations of the campuses and General Administration.
The committee also reviewed and made recommendations regarding personnel policies and procedures. Records of the committee document its discussions of policies on faculty compensation, tenure, external professional activities, conflicts of interest, faculty workload, faculty-student relations, and other personnel matters.
Finally, the Committee on Personnel and Tenure considered appeals of faculty grievances regarding non-reappointment, denial of tenure, dismissal, salary, and other matters. In doing so, it looked only at whether all applicable policies and procedures, as defined by the Code of the Board of Governors of the University of North Carolina, had been followed by the campus administration and by the appellant in the case. It then issued its recommendations regarding the appeal in a report to the full Board of Governors. Until October 1994, these reports were entered as appendices in the official minutes of the full Board of Governors meetings in Series 1. Copies of the reports were also filed in records of the committee.
Some of the committee's records related to appeals are restricted until 2048 and have been removed from the files and placed in Box 2:21/3:12. These include most of the committee's reports on appeals from October 1994 through 1998. Also restricted are internal correspondence regarding specific appeals, regardless of date, and scattered copies of documents related to campus grievance proceedings. The committee's minutes, from both open and closed sessions, remain in the files and are open for research.
